Terms & Conditions

These Terms and Conditions govern your use of the StockedSoft platform ("the Service"), operated by Stocksoft ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

• "Service" means the StockedSoft cloud-based inventory and warehouse management software, accessible via stockedsoft.com.
• "Account" means the account you register to access the Service.
• "Subscription" means the paid or free plan that gives you access to the Service.
• "Data" means any content, information or materials you upload, store or transmit through the Service.
• "Users" means individuals authorised by you to access the Service under your Account.

You must be at least 18 years old to use the Service. By agreeing to these Terms you represent that you have the legal capacity to enter into a binding agreement. If you are registering on behalf of a business, you confirm you have authority to bind that business to these Terms.

You must provide accurate and complete information when creating an Account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify us immediately at sales@stockedsoft.com if you suspect any unauthorised use of your Account.

We reserve the right to suspend or terminate Accounts that violate these Terms or that we reasonably believe have been compromised.

StockedSoft offers a free Starter plan and paid Growth and Enterprise plans. Paid subscriptions are billed monthly or annually as stated at checkout. All prices are exclusive of VAT unless stated otherwise.

Payments are processed securely by Stripe. We do not store your payment card details. By subscribing you authorise us to charge your chosen payment method at the applicable rate for each billing period.

We reserve the right to change our pricing with 30 days' notice. Continued use of the Service after a price change constitutes your acceptance of the new price.

One-off services (such as the Shopify Integration Setup Service) are charged as a single payment at the point of purchase and are non-refundable once the service has commenced.

We may offer free trials or a free Starter plan at our discretion. Free plans are subject to the usage limits stated on our pricing page and may be changed or withdrawn at any time with reasonable notice.

You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of your current billing period; you will retain access until that date.

We do not offer pro-rata refunds for partial billing periods. If you believe a charge was made in error, please contact us within 30 days at sales@stockedsoft.com.

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Infringe the intellectual property rights of any third party.
• Upload or transmit malicious code, viruses or other harmful content.
• Attempt to gain unauthorised access to any part of the Service or its related systems.
• Use the Service to send unsolicited communications (spam).
• Reverse engineer, decompile or disassemble any part of the Service.
• Resell, sublicense or otherwise make the Service available to third parties without our prior written consent.

You retain ownership of all Data you upload to the Service. By using the Service you grant us a limited licence to host, process and display your Data solely for the purpose of providing the Service to you.

You are responsible for ensuring your Data complies with applicable laws, including data protection legislation. You must not upload Data that is unlawful, harmful or infringes the rights of others.

We implement reasonable technical and organisational measures to protect your Data. In the event of a data breach that is likely to affect your rights, we will notify you as required by applicable law.

Upon cancellation of your Account, we will retain your Data for 30 days, after which it will be permanently deleted. You may request earlier deletion by contacting us. We may retain anonymised or aggregated data that does not identify you for analytical purposes.

The Service may integrate with third-party platforms including Shopify, Stripe and Supabase. Your use of those platforms is governed by their respective terms of service. We are not responsible for the availability, accuracy or content of third-party services.

By enabling a third-party integration you authorise us to transmit relevant Data to that third party as necessary to provide the integration functionality.

All software, content, trademarks, logos and other materials comprising the Service are owned by or licensed to Stocksoft and protected by intellectual property law. These Terms do not grant you any right in our intellectual property except the limited licence to use the Service as permitted herein.

Any feedback, suggestions or ideas you provide to us may be used by us without restriction or compensation.

We aim to provide a reliable service but do not guarantee uninterrupted availability. The Service may be unavailable from time to time due to maintenance, updates or circumstances beyond our control. We will endeavour to provide advance notice of planned maintenance where possible.

To the maximum extent permitted by law, Stocksoft shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or business opportunities, arising from or in connection with your use of the Service.

Our total liability to you in respect of any claim arising from these Terms or the Service shall not exceed the total fees paid by you to us in the 12 months preceding the claim.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

You agree to indemnify and hold harmless Stocksoft, its directors, employees and agents from any claims, losses, liabilities, damages and costs (including legal fees) arising from your breach of these Terms or your use of the Service.

We may suspend or terminate your access to the Service at any time with reasonable notice if you breach these Terms or if we reasonably believe continued access poses a risk. In the event of termination for cause we are not obliged to provide a refund.

You may terminate your Account at any time by cancelling your subscription and deleting your Account from your settings page.

We may update these Terms from time to time. Where changes are material, we will notify you by email or via the Service at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Stocksoft with respect to the Service and supersede all prior agreements and understandings.
